Contents
§ 1 Scope, B2B, Inclusion
Talyrix is directed exclusively at businesses (§ 14 BGB); consumers are excluded. Deviating terms and conditions of the customer apply only with written/text-form consent. The version of the Terms linked in the registration process/account applies; uRemoTech archives previous versions.
§ 2 Conclusion of Contract, Accounts, Plans
(1) A contract is concluded by registering in the application (Free), booking paid plans (monthly/quarterly/annually), or by acceptance of an offer from uRemoTech in the application or by e-mail.
(2) The customer manages tenant, users, and permissions independently; details of the functional scope (e.g. roles, profile sharing, enterprise organization) are specified in the current service description.
(3) The customer ensures that only authorized persons gain access and that permissions are maintained in line with their organizational structure.
(4) If the customer processes third-party profiles (e.g. employees, external consultants), they are responsible for compliance with legal requirements, particularly the legal basis (e.g. contractual agreement, consent) and fulfillment of information obligations.
(5) Trial Period (Free Trial): Free trials end automatically; transition to a paid plan only occurs through explicit booking. uRemoTech may modify or terminate trial access at any time. Liability for free services is governed by § 10 (Free Plan).
§ 3 Services, Beta, Changes
The functional scope (e.g. CV management/export, integrations, optional AI) is defined in the current service description. Beta/preview features may be faulty and can be changed/discontinued at any time. uRemoTech may adapt/expand services, taking customer interests into account. The customer must maintain a backup copy of their data.
§ 4 Prices, Billing, Licenses, VAT
Prices per plan plus VAT. Billing details are provided in the application or offer. Adjustments to license numbers take effect upon activation or at the beginning of the next billing period. Price changes only apply to future billing periods; uRemoTech will inform at least 30 days in advance via the application (additionally by e-mail). For cross-border B2B services, the reverse charge procedure may apply.
§ 5 Term, Renewal, Termination
(1) Starts with activation (“start date”); term depends on plan: Month = 1 month, Quarter = 3 months, Year = 12 months.
(2) Automatically renews for the selected period unless terminated in the application before the end of the current billing period.
(3) Billing is in advance at the start of each period; no prorated refund upon termination within a running period.
§ 6 Data Protection, DPA, AI, Subprocessors
The Data Processing Agreement (Art. 28 GDPR) and Privacy Policy apply. uRemoTech does not use customer content to train AI models. Use of external AI/cloud services is only as (sub-)processing; third-country transfers only with appropriate safeguards (in particular EU Commission Standard Contractual Clauses (SCC)). List of subprocessors in the DPA.
§ 7 Content & Rights, Indemnification
Rights to Talyrix remain with uRemoTech. The customer retains rights to their content and grants uRemoTech the necessary usage rights for the term to fulfill the contract. The customer guarantees legality of their content and indemnifies uRemoTech against third-party claims arising from unlawful use.
§ 8 Usage Restrictions
Prohibited are, among others: bypassing security mechanisms, unauthorized load/pen tests, scraping/mass downloads, illegal content, and reverse engineering except where legally required.
§ 9 Operation, Maintenance (no SLAs)
uRemoTech operates Talyrix without guaranteed availability values (no SLAs). Updates are generally tested professionally before deployment to avoid outages. Updates are usually applied without interruption (rolling updates); only unavoidable interruptions are announced with reasonable notice.
§ 10 Liability
Intent/gross negligence: unlimited. For slight negligence, liability only for cardinal obligations, limited to foreseeable, typical damages; indirect damages/lost profits excluded. Unaffected: product liability and life/body/health; applies also to representatives/agents.
Free Plan: In the free plan, uRemoTech is liable only for intent/gross negligence and life/body/health.
§ 11 No Right of Withdrawal (B2B)
Consumer withdrawal rights do not apply.
§ 12 Reference Use
uRemoTech may use the customer’s name and logo as a reference during the contract term; objection for good cause in text form is possible.
§ 13 Data Export & Deletion
Export via provided functions (currently PDF, Word export depending on plan). After contract end, customer-related data is deleted within 60 days unless retention obligations apply; backups are overwritten periodically.
§ 14 Confidentiality
Non-public information of both parties must be kept confidential; statutory/official disclosure obligations remain unaffected.
§ 15 Third-Party Services/Integrations
For third-party services (e.g. project portals, e-mail gateways), their terms apply; uRemoTech is not liable for their availability/functionality.
§ 16 Access Data & Account Security
The customer protects access data, uses appropriate authentication, and informs uRemoTech immediately if misuse is suspected.
§ 17 Licenses & Transfer
(1) (Named User): Usage rights are personal (“named user”), unless otherwise specified in the service description. Transfer/shared use is prohibited.
(2) (No sublicensing/resale): Without prior consent from uRemoTech, the customer may not (sub-)license, resell, or provide Talyrix as their own service. Access by own employees/agents within own tenant or commissioned organizational level as per service description is permitted.
§ 18 Anonymized/Aggregated Usage Data
uRemoTech may process anonymized/aggregated usage data for improvement, analysis, and security; no inference to individuals/secrets.
§ 19 Force Majeure
No liability for performance disruptions due to force majeure (e.g. large-scale network outages, natural events, hacker attacks, war, government orders), provided the affected party promptly informs the other and takes reasonable measures.
§ 20 Set-Off/Retention
Set-off and retention are only permitted with undisputed or legally established counterclaims.
§ 21 Notifications
Legally relevant declarations may be made by e-mail or in the account/in-app.
§ 22 Final Provisions
Text form is sufficient (including eIDAS-compliant electronic signatures) for declarations, as far as legally permitted. German law applies to this contract, excluding UN sales law. Exclusive place of jurisdiction for all disputes is the registered office of uRemoTech GmbH & Co. KG. Order of precedence: In case of conflicts between documents, the following order applies: (1) Offer/order form, (2) DPA, (3) these Terms, (4) service description/policies. Severability: If individual provisions are invalid, the validity of the remaining provisions remains unaffected; instead of the invalid provision, a regulation closest to the economic purpose shall apply.
§ 23 Amendments to these Terms
uRemoTech may amend these Terms for good cause (e.g. law, data protection/security, technology, reasonable service adjustments) with effect for the future. uRemoTech announces changes 30 days in advance in the application/by e-mail. The customer may object before the changes take effect. Without objection, the changes are deemed accepted. In case of objection, the contract continues until the end of the current billing period; uRemoTech may terminate the contract at the time of the amendment. Material adverse changes or new charges require explicit consent.
